On November 29, 2013, the United States Department of the Treasury released a Bilateral Agreement between the United States and the Cayman Islands (“Caymans”) to implement the Foreign Account Tax Compliance Act (“FATCA”). This Intergovernmental Agreement (“IGA”) provides that the Internal Revenue Service will receive tax information regarding United States account holders at foreign financial institutions (“FFIs”) in the Caymans.

The State of Florida has recently been sending out notices to potential holders of unclaimed property requiring them to undertake a self-audit review of their businesses for unclaimed property or face a formal examination of their books and records in addition to the application of penalties, interest and audit fees (see sample letter). Florida has previously sent out notices to potential holders informing them of the voluntary compliance self-audit review and encouraging companies to participate if they have unclaimed property to report but has not threatened formal examination. Unclaimed Property Notice - November 2013

On October 29, 2013, Michigan passed into law amendments to the Uniform Unclaimed Property Act (the “Act”) which impose certain standards regarding the conduct of unclaimed property audits.

The State Treasurer or its duly authorized agents (collectively, the “State”) are now required to perform all examinations in accordance with generally accepted auditing standards to the extent applicable. Further, the State is required to give those persons who have been audited or whose books, records, and papers had been examined, a complete copy of the audit report in printed or electric format.

In addition, the State is permitted to determine the amount of any abandoned or unclaimed property due and owing based upon a reasonable method of estimation consistent with the auditing standards when the person being examined did not have “substantially complete records,” as defined in the bill.

With hundreds of ongoing unclaimed property audits, and often compensated on a contingent-fee basis, there is an increased risk that non-compliant holders may be targeted for audit.
